Welcome to Fin Verve Business Solutions. These Terms and Conditions govern your use of our services and website. By engaging our services or accessing our website, you agree to these terms.
1.1 Fin Verve Business Solutions ("FVBS," "we," "us," or "our") provides management consulting, financial management services, and event management collaboration as described on our website.
1.2 All services are provided on a project basis with scope, deliverables, timelines, and fees defined in individual service agreements or proposals.
1.3 Service agreements are binding upon written acceptance by both parties.
2.1 Each engagement is governed by a specific agreement outlining scope, deliverables, timeline, fees, and responsibilities.
2.2 Scope changes require mutual written agreement and may result in revised fees and timelines.
2.3 Client cooperation and timely provision of required information are essential for successful project delivery.
3.1 Fees are project-based and specified in individual service agreements.
3.2 Payment terms, including advance payments, milestones, and final settlements, will be outlined in each agreement.
3.3 Invoices are payable within the timeframe specified in the agreement (typically 15-30 days from invoice date).
3.4 Late payments may attract interest charges as specified in the agreement.
3.5 All fees are exclusive of applicable taxes unless stated otherwise.
4.1 FVBS maintains strict confidentiality of all client information and proprietary data.
4.2 Clients agree to maintain confidentiality of FVBS methodologies, frameworks, and deliverables.
4.3 Confidentiality obligations survive termination of the engagement.
5.1 Client-specific deliverables become the property of the client upon full payment.
5.2 FVBS retains ownership of proprietary methodologies, frameworks, templates, and tools.
5.3 Neither party may use the other's trademarks or branding without prior written consent.
6.1 FVBS provides services with professional care and diligence based on information provided by the client.
6.2 Our liability is limited to the fees paid for the specific project, except in cases of gross negligence or willful misconduct.
6.3 FVBS is not liable for decisions made by clients based on our recommendations or for third-party actions.
6.4 Clients indemnify FVBS against claims arising from inaccurate information provided or client's failure to implement recommendations appropriately.
7.1 Either party may terminate an engagement with written notice as specified in the service agreement.
7.2 Upon termination, the client remains liable for fees for work completed and expenses incurred.
7.3 FVBS will deliver work completed up to the termination date upon settlement of outstanding fees.
8.1 Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.
9.1 Disputes will be resolved amicably through good-faith negotiation.
9.2 If unresolved, disputes are subject to arbitration in Bengaluru, Karnataka, under Indian Arbitration and Conciliation Act, 1996.
9.3 The courts of Bengaluru, Karnataka shall have exclusive jurisdiction.
10.1 These Terms and Conditions are governed by the laws of India.
11.1 FVBS reserves the right to modify these terms with notice to clients.
11.2 Continued engagement constitutes acceptance of modified terms.
12.1 These terms constitute the entire understanding unless superseded by a specific service agreement.
12.2 If any provision is deemed unenforceable, remaining provisions remain valid.
12.3 Failure to enforce any right does not constitute a waiver.
